These MzigoNet Terms and Conditions ("Terms") govern your use of the MzigoNet cargo and logistics management platform, including all associated software, APIs, mobile access, and documentation (collectively "MzigoNet"). By accessing or using MzigoNet, you agree to be bound by these Terms.

1. Definitions

• "MzigoNet" means the cloud-based logistics and freight management system provided by SoftMax Technologies Limited.
• "Customer" means any Clearing & Forwarding agent, logistics company, or business entity registered to use MzigoNet.
• "Shipment" refers to any cargo, container, or goods being tracked through the platform.
• "User" means any authorized employee, agent, or representative of the Customer.

2. Account Registration & Access

To use MzigoNet, you must register your company and create an admin account. You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify SoftMax immediately of any unauthorized access.

3. Subscription & Fees

MzigoNet is offered on a subscription basis. Fees are based on your selected plan (e.g., number of users, shipments, or containers). All fees are payable in advance unless otherwise agreed. SoftMax reserves the right to modify pricing with 30 days' notice. Failure to pay may result in suspension of access.

4. Platform Usage

You agree to use MzigoNet solely for lawful business purposes related to cargo and logistics management. You shall not:

• Use MzigoNet for any illegal activity or to violate Tanzanian laws (including customs and tax regulations).
• Reverse engineer, decompile, or attempt to extract the source code of MzigoNet.
• Share your account credentials with unauthorized third parties.
• Upload false, fraudulent, or misleading shipment or customs data.

5. Data Ownership & Privacy

All shipment, customer, and business data you enter into MzigoNet remains your property. SoftMax does not claim ownership over your data. However, you grant SoftMax a limited license to process, store, and display your data as necessary to operate MzigoNet. Our Privacy Policy (available on our website) explains how we handle personal information. We do not sell your data.

6. Payment Processing via Softmalipo

MzigoNet integrates with Softmalipo, SoftMax's proprietary payment gateway, to process staff payroll, vendor disbursements, and customer payments. By using MzigoNet's payment features, you agree to the Softmalipo terms. SoftMax is not liable for delays caused by third-party mobile network operators (M-Pesa, Airtel, Halotel, etc.).

7. Service Availability & Support

SoftMax strives for 99.5% uptime. We reserve the right to perform scheduled maintenance (notified in advance). Technical support is available via email (support@softmax-tech.com) during business hours (Monday–Friday, 8 AM – 6 PM EAT).

8. Limitation of Liability

To the maximum extent permitted by law, SoftMax Technologies Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use MzigoNet, including loss of profits, cargo delays, customs penalties, or data loss. Our total aggregate liability shall not exceed the fees paid by you in the preceding 6 months.

9. Indemnification

You agree to indemnify and hold SoftMax harmless from any claims, damages, or expenses arising from your misuse of MzigoNet, violation of these Terms, or violation of any applicable laws or third-party rights.

10. Termination

Either party may terminate your MzigoNet subscription with 30 days' written notice. SoftMax may suspend or terminate access immediately if you breach these Terms, engage in fraudulent activity, or fail to pay outstanding fees. Upon termination, you must export your data within 30 days; after which SoftMax may delete your data.

11. Modifications to Terms

SoftMax may update these Terms from time to time. Material changes will be communicated via email or within the MzigoNet dashboard. Continued use after the effective date constitutes acceptance.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes shall be resolved exclusively in the courts of Dar es Salaam.
